1. Parties and Acceptance

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you") and Synapse Healthcare Consultants Pvt. Ltd., operating the InsightRx research practice, with its registered office at Gurgaon, Haryana – 122001, India ("InsightRx", "we", "us").

By accessing or using the website at insightrx.in (the "Site"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must immediately discontinue use of the Site.

These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000, the Indian Contract Act, 1872, and the Digital Personal Data Protection Act, 2023.

2. Nature of the Site and Services

The Site provides information about InsightRx's healthcare market research and consulting services, publishes research insights and reports, and enables prospective clients to submit enquiries and commission research studies. The Site is intended for use by business professionals, investors, healthcare operators, and researchers.

Nothing on the Site constitutes medical advice, clinical guidance, investment advice, or a solicitation to buy or sell any security. All research content is produced for informational and strategic planning purposes only.

3. Intellectual Property Rights

All content on the Site — including text, data, analyses, graphics, logos, report extracts, and the Site's design and structure — is the exclusive intellectual property of InsightRx or its licensors and is protected under the Copyright Act, 1957 and applicable intellectual property laws.

You may:

• Access and read Site content for your personal, non-commercial reference
• Share links to publicly available pages on the Site

You may not, without our prior written consent:

• Reproduce, republish, distribute, or commercially exploit any content from the Site
• Scrape, crawl, or systematically extract data from the Site by automated means

Research reports and deliverables commissioned by clients are subject to separate intellectual property terms set out in the applicable engagement agreement.

4. Research Reports and Gated Content

By submitting your details to access a report, you consent to InsightRx contacting you in connection with its research services. You may not redistribute, resell, or share gated content with third parties without our written consent.

All research findings, data, and analysis published on the Site are based on information available at the time of publication. InsightRx makes reasonable efforts to ensure accuracy but does not warrant that all information is complete, current, or error-free. Market data and projections are indicative and subject to change.

5. Commissioned Research Services

Where you commission a research study or consulting engagement from InsightRx, the terms of that engagement — including scope, deliverables, fees, timelines, confidentiality, and intellectual property ownership — are governed by a separate written agreement between the parties. These Terms of Use apply to your use of the Site and do not constitute or modify any such engagement agreement.

InsightRx reserves the right to decline any engagement at its sole discretion.

6. Acceptable Use

You agree not to use the Site to:

• Violate any applicable law or regulation
• Transmit any material that is defamatory, obscene, fraudulent, or harmful
• Impersonate any person or entity or misrepresent your affiliation

8. Limitation of Liability

To the fullest extent permitted by applicable law, InsightRx, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, loss of data, business interruption, or reputational harm — arising out of or in connection with your use of or inability to use the Site, even if advised of the possibility of such damages.

InsightRx's total aggregate liability to you for any claim arising out of or relating to these Terms or your use of the Site shall not exceed INR 10,000 (Indian Rupees Ten Thousand only), regardless of the form of action.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable Indian law.

9. Third-Party Links and Content

The Site may contain links to third-party websites or reference third-party data sources. Such links are provided for convenience only. InsightRx does not endorse, control, or assume responsibility for the content, privacy practices, or accuracy of any third-party site. Access to third-party sites is at your own risk.

10. Indemnification

You agree to indemnify, defend, and hold harmless InsightRx and its directors, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Site in violation of these Terms; (b) your violation of any applicable law or third-party right; or (c) any content you submit to the Site.

11. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with the DPDP Act 2023 and the IT Act 2000.

12. Modifications to the Site and Terms

InsightRx reserves the right to modify, suspend, or discontinue the Site or any part thereof at any time without notice. We may also revise these Terms at any time by updating this page. 13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Site shall first be attempted to be resolved through good-faith negotiation between the parties.

If the dispute is not resolved within 30 days of written notice, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator mutually appointed by the parties. The seat and venue of arbitration shall be Gurgaon, Haryana, India. The language of arbitration shall be English.

Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction. Subject to the foregoing, the courts at Gurgaon, Haryana shall have exclusive jurisdiction.

14. Severability and Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

No failure or delay by InsightRx in exercising any right under these Terms shall constitute a waiver of that right.

15. Entire Agreement

These Terms, together with the Privacy Policy and any applicable engagement agreement, constitute the entire agreement between you and InsightRx with respect to your use of the Site and supersede all prior agreements, representations, and understandings relating to the same subject matter.
